c. Merger agreement 1 The merger agreement must comply with the mandatory company law provisions of the laws governing the companies involved, including the provisions concerning form. 2 All other aspects of the merger agreement are governed by the law chosen by the parties. In the absence of a choice of law, the merger agreement is governed by the law of the state with which the agreement has the closest connection.
