Art. 932

II. Entry into force1

1The timing of the entry in the commercial register is determined by the time at which the entry was made in the journal.

2An entry in the commercial register does not take effect in relation to third parties until the working day after the date of publication printed on the issue of the Swiss Official Gazette of Commerce in which the entry is published. That working day is also the key date for determining the start of any time limit described as beginning on publication of the entry.

3Special provisions according to which legal effects attach, including those in relation to third parties, or time limits begin to run immediately on entry in the register are reserved.

1 Amended by No I 3 of the FA of 16 Dec 2005 (Law on Limited Liability Companies and Amendments to the Law on Companies limited by Shares, Cooperatives, the Commercial Register and Business Names), in force since 1 Jan 2008 (AS 2007 4791; BBl 2002 3148, 2004 3969).
