(Part Five: The Code of Obligations)

¹ Where the mem­bers have lim­ited or un­lim­ited li­ab­il­ity for the so­ci­ety’s debts or are li­able to make ad­di­tion­al con­tri­bu­tions, the dir­ect­ors must no­ti­fy every ac­ces­sion or de­par­ture of a mem­ber for entry in the com­mer­cial re­gister with­in three months.

² Fur­ther, every de­part­ing or ex­cluded mem­ber and the heirs of a mem­ber have the right to have the mem­ber’s de­par­ture, ex­clu­sion or death entered in the re­gister on their ini­ti­at­ive. The com­mer­cial re­gistry must im­me­di­ately no­ti­fy the so­ci­ety’s dir­ect­ors of any such no­ti­fic­a­tion.

³ Li­censed in­sur­ance co­oper­at­ives are ex­empt from the duty to no­ti­fy their mem­bers for entry in the com­mer­cial re­gis­trar.
