IV. Busi­ness man­age­ment and rep­res­ent­a­tion

1. Del­eg­a­tion

 

1 The art­icles of as­so­ci­ation may au­thor­ise the gen­er­al as­sembly of mem­bers or the board to del­eg­ate re­spons­ib­il­ity for man­aging the co­oper­at­ive’s busi­ness or parts there­of and for rep­res­ent­ing the co­oper­at­ive to one or more per­sons, busi­ness man­agers or ex­ec­ut­ive of­ficers, who need not be mem­bers of the co­oper­at­ive.

2 A co­oper­at­ive must be able to be rep­res­en­ted by a per­son who is res­id­ent in Switzer­land. This per­son must be a dir­ect­or, a busi­ness man­ager or an ex­ec­ut­ive of­ficer. This per­son must have ac­cess to the re­gister un­der Art­icle 837.734
