(Part Five: The Code of Obligations)

¹ Each part­ner must con­duct part­ner­ship af­fairs with the di­li­gence and care that he would nor­mally de­vote to his own af­fairs.

² He is li­able to the oth­er part­ners for any dam­age caused through his fault and may not set off against such dam­age the be­ne­fits ob­tained for the part­ner­ship in his oth­er activ­it­ies.

³ Man­aging part­ners who are re­mu­ner­ated for their man­age­ment ser­vices are li­able in ac­cord­ance with the pro­vi­sions gov­ern­ing man­dates.
