¹ The li­quid­a­tion fol­low­ing the dis­sol­u­tion of the part­ner­ship must be car­ried out jointly by all part­ners, in­clud­ing those without man­age­ment au­thor­ity.

² However, where the part­ner­ship agree­ment re­lated only to cer­tain spe­cif­ic trans­ac­tions to be car­ried out by one part­ner in his own name but on be­half of the part­ner­ship, that part­ner must carry out such trans­ac­tions and give ac­count of them to the oth­er part­ners even after the part­ner­ship has been dis­solved.
