¹ The amount pay­able to a part­ner leav­ing the part­ner­ship is de­term­ined by agree­ment.

² Where no pro­vi­sion is made on this mat­ter in the part­ner­ship agree­ment and the parties can­not reach agree­ment, the court de­term­ines the amount with due re­gard to the as­set po­s­i­tion of the part­ner­ship at the time the part­ner leaves and any fault at­trib­ut­able to the de­part­ing part­ner.
